Terms and Conditions

1. Service
We arrange freight transportation as a broker; we are not the carrier and do not physically move freight.

2. Parties
You must provide accurate legal and contact info. Carriers must maintain required authority and insurance.

3. Rates and Payment
Rates confirmed in writing per load. Invoices due within 30 days unless otherwise agreed; late fees may apply.

4. Liability and Cargo
Broker liability is limited to the broker fee except for gross negligence or willful misconduct. Cargo loss/damage claims are primarily against the carrier.

5. Insurance and Indemnity
Each party must maintain appropriate insurance and indemnify the other for claims arising from its actions or breaches.

6. No Double Brokering
No party will double-broker, divert payments, or misrepresent authority.

7. Claims and Notices
Report loss, damage, or billing disputes promptly and preserve evidence. Follow written claim procedures.

8. Termination
Either party may terminate for material breach, insolvency, or loss of authority; obligations that survive termination remain enforceable.

9. Governing Law
These terms are governed by Texas law; venue is Harris County, Texas.
